B2B Asset Investigations · Commercial Due Diligence
Before you extend credit, sue, or sign — know what the company actually owns.
Commercial counterparties present themselves the way they want to be seen. Empire builds the picture of what they actually hold — property, entities, equipment, receivables, and the liabilities that travel alongside them — so credit, litigation, and partnership decisions rest on records.
What A Commercial Asset Investigation Covers
The corporate balance sheet behind the pitch deck.
A commercial asset investigation is a structured, lawful inquiry into what a company actually owns, what it actually owes, who actually controls it, and what litigation or regulatory exposure travels with it. The work is not a credit report — it is a documented map of the entity's real footprint, with sources attached.
Empire builds these investigations for commercial creditors deciding whether to extend a line, litigation counsel weighing whether to file or settle, M&A buyers stress-testing what is in the data room against what is in the record, and operating businesses evaluating partners, vendors, or acquisition targets. The output is decision-grade material — not a generic dossier.
Forty-four years of corporate work has taught us that commercial counterparties rarely lie outright. What they do is omit, restructure, and frame. A well-built asset investigation surfaces what is missing from their narrative — the sister LLC that holds the equipment, the recent reconveyance to the founder's spouse, the federal tax lien in the next state over.
When B2B Asset Investigations Pay For Themselves
Decisions where being wrong is expensive.
01
Extending substantial credit
A documented asset and liability picture protects credit decisions that exceed routine credit-bureau review.
02
Filing or settling B2B litigation
Before draftin a complaint, knowing whether the defendant has assets to satisfy a likely judgment changes the entire posture.
03
M&A and asset purchases
Independent verification of what the target actually owns — and the liens, lawsuits, and obligations attached — stress-tests seller representations.
04
Partner and joint-venture diligence
Before tying your business to another, knowing the partner's real holdings, related-party transactions, and litigation history is a baseline of care.
05
Workouts and restructurings
Lender-led workouts and creditor-committee work benefit from independent asset visibility instead of relying on debtor-provided statements.
06
Insurance subrogation and recovery
Insurers pursuing third-party recovery need the same asset picture commercial creditors do.
What A Commercial Asset Search Documents
The categories that drive commercial decisions.
Entity and Beneficial Ownership
Operating entities, holding companies, sister LLCs, assumed names, and the ownership relationships across them.
Real and Personal Property
Owned real estate, equipment subject to UCC financing statements, vehicles, and titled assets across jurisdictions.
Liens, Judgments, and Tax Filings
Federal and state tax liens, UCC-1 filings, civil judgments, mechanic's liens, and bankruptcy history.
Litigation Footprint
Civil, regulatory, and federal court appearances — pending matters, prior judgments, and patterns relevant to credit and counterparty risk.
Related-Party Transactions
Property and entity activity between the subject company and insider-affiliated entities or individuals.
Regulatory and License Records
State professional licenses, regulatory enforcement actions, and industry-specific registrations where relevant.
Our Process
How the work moves.
01
Engagement intake with decision context
We learn what decision is on the table — extending credit, suing, buying, partnering — because the decision shapes which records carry the most weight.
02
Entity tree and jurisdiction map
We map the target's entities, registered agents, principals, and the jurisdictions where filings actually live before we run records.
03
Records discovery and verification
Real property, UCC filings, court records, business registrations, tax-lien indexes, and regulatory databases — pulled, dated, and cross-checked.
04
Decision-grade written report
Findings delivered with deed images, filing exhibits, and a clear summary keyed to the underlying decision counsel or principal is making.
Frequently Asked
Questions before the call.
How is this different from a credit report?
Credit reports are aggregated bureau data and miss the most useful categories — actual real property holdings, related-party entities, UCC equipment liens, pending litigation, and beneficial ownership. A commercial asset investigation builds that picture from source records.
Will the target know?
No. Commercial asset investigations are records-based and confidential. The target is not contacted, surveyed, or interviewed as part of the asset work itself.
How long does it take?
Most single-target commercial investigations deliver in two to three weeks. Multi-entity, multi-state engagements involving acquisition diligence or workout support take longer and are scoped accordingly.
Do you support M&A diligence specifically?
Yes. Empire works with deal counsel and corporate buyers to validate seller representations against public-record reality before signing. Findings are timed to the diligence schedule.
What if the target operates in multiple states?
Multi-state coverage is standard. Empire works the relevant state corporation commissions, county recorders, federal court systems, and UCC filing indexes wherever the target has registered or done business.
Can you brief our board or investment committee?
Yes. Where appropriate, Empire conducts findings briefings for boards, credit committees, and investment committees in addition to the written report.
Empire performs lawful commercial asset investigations through public records, court filings, business registrations, and skip-trace databases. We do not use pretexting, do not access protected consumer or business data outside permissible-purpose categories, and do not guarantee specific findings.
